INTRODUCTION
IMPORTANT - PLEASE READ CAREFULLY: BY SIGNING BELOW, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. This is a legal agreement (the “Agreement,” also referred to as “Terms of Use”) between VRTXI INC. and THE COMPANY IDENTIFIED IN THE LICENSE AGREEMENT (the “Client”) and any user of the Client (a “User” or “Users”) who uses or accesses VRTXI INC.’s websites, services, products, and content, including the ePermission.io and iRisk.io applications, available worldwide, now and in the future from time to time (collectively, the “Services”). IF YOU DO NOT AGREE TO THESE TERMS OF USE, YOU CANNOT REGISTER FOR AN ACCOUNT AND USE THE WEBSITE OR SERVICES. Any software associated with the Services is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties.
1. DESCRIPTION OF SERVICES, LICENSE
The Services include a suite of intranets comprising, among other things, a project portfolio management tool, a calendar, contact lists, a document manager, expense notes, forums, purchase orders, tasks, and chat applications, as well as certain communication features. Together, these Services are referred to as the “Site” or “ePermission.io” or “iRisk.io and its variations: iRisk.net, iRisk.ski, iRisk.bike.” Any modifications made to the Services will be subject to these terms.
During the relevant period, VRTXI INC. grants the Client a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the Services under the conditions set forth in these Terms. The Client agrees that all rights, titles, and interests related to all intellectual property rights in the Services and any modifications, extensions, scripts, and other derivative works provided or developed by VRTXI INC. are the exclusive property of VRTXI INC. or its licensors. All rights not granted to the Client under these Terms remain exclusive to VRTXI INC.
2. REGISTRATION CODE; PASSWORD; SECURITY
Upon registration, a username and password will be assigned to each User. The Client/User is responsible for maintaining the confidentiality of their username and password. Any violation of this section may result in the loss of functionality for the User, including account termination.
Sharing usernames and/or passwords among multiple Users to avoid paying license fees constitutes a violation of these Terms of Use.
The Client or User must immediately notify VRTXI INC. of any known or suspected unauthorized use, activity, or disclosure of the Services or any information or any other breach of security. VRTXI INC. will not be responsible for any failure by the Client or Users to comply with this section or any other provision of these Terms of Use.
3.3. TERM
These Terms of Use will remain in full force at all times during your use of the Services and/or the maintenance of your subscription with VRTXI INC.
4. YOUR CONTENT
The Services may allow the Client, Users, and users of the Client to submit, post, display, or upload content, including, but not limited to, texts, files, and other documents (collectively, the “Content”). The Client, User, and user retain ownership of their Content, but by uploading or entering it into software, programs, or platforms provided as part of the Services, you grant us a license to use, copy, reproduce, adapt, publish, transmit, host, and display such Content for the purpose of (i) providing you with the Services and related support and (ii) analyzing and improving the performance of the Services.
5. RESTRICTIONS
The Client and User must not: (i) use the Services in any way that violates applicable local, federal/provincial, and foreign laws, including, but not limited to, privacy laws, electronic communication laws, and anti-spam laws; (ii) decompile, disassemble, reverse engineer, or attempt to reconstruct or discover source code, underlying ideas, algorithms, file formats, or programming interfaces of the Services by any means; (iii) use the Services to engage in or threaten to engage in any fraudulent, abusive, or illegal activity; (iv) access or attempt to access any part of the Services or content without authorization, or the personal information of any other client or user; (v) engage in any conduct that disrupts or prevents any third party from using and enjoying the Services; (vi) distribute viruses or any other harmful or malicious computer code through or in the Services; (vii) sell, lease, lend, assign, sublicense, grant access to, or otherwise transfer or disclose the Services, in whole or in part, to any third party.
6. TERMINATION
VRTXI INC., acting reasonably, may terminate, cancel, suspend, limit, interrupt, and/or disable (temporarily or permanently) any part or all of the Services, username, password, registration, any part of the website, and/or the Client, upon 48 hours’ notice, including, but not limited to, cases of violation of these Terms of Use by the Client or its Users. VRTXI INC. and the Client may also terminate the Services or any part thereof for any reason with prior notice of 30 days. In the event of partial or full termination of the Services by VRTXI INC., the Client will be entitled to a prorated refund for any Services not provided.
